Robinhood Markets is launching a $1 billion IPO of a closed-end fund called Robinhood Ventures Fund I (RVI), giving everyday retail investors a shot at private company exposure that has long been out of reach.

The fund is expected to begin trading on the New York Stock Exchange under the ticker RVI on February 26. Robinhood customers can place orders for IPO shares starting February 17 at an expected price of $25 per share. Goldman Sachs is leading the deal.

The move is part of Robinhood’s push to level the playing field. CEO Vlad Tenev put it plainly: “Opening up private markets will resolve one of the greatest longstanding inequities in capital markets today.”

What’s Inside the Fund

RVI’s initial portfolio includes Airwallex, Boom, Databricks, Mercor, Oura, Ramp, and Revolut. Robinhood also has an agreement to purchase shares of Stripe (STRIP), expected to close after the IPO.

No single company can exceed 20% of the fund’s total assets. Any capital raised beyond the initial investments will go toward new positions.

The fund will not pay regular dividends. CFO Shiv Verma said dividends would only be considered if there is excess cash sitting in the portfolio.

Robinhood points to data from Apollo Academy and the Federal Reserve showing 6.5 times as many private companies as public ones, with U.S. private companies’ total value exceeding $10 trillion.

Who Can Invest

RVI is built to be wide open. There are no accreditation requirements, no investment minimums, and no performance fees — a contrast to traditional private equity vehicles.

The management fee sits at 2% annually, calculated and paid quarterly. That fee is cut to 1% for the first six months after the IPO closes.

HOOD shares rose 0.9% in Tuesday afternoon trading following the announcement.

Crypto Platforms Race Toward IPOs

Robinhood’s launch fits into a broader pattern. Kraken filed for a U.S. IPO late last year. Ledger is targeting a $4 billion valuation IPO in 2025, working with Goldman Sachs and Barclays.

BitGo Holdings (BTGO) already made its move, listing on the NYSE on January 22, 2026 at $18 per share, raising around $213 million at a $2.08 billion valuation.

Robinhood has been expanding its footprint. In June 2025, it opened tokenized stock trading in Europe.
