Guidewire has agreed to buy London-based Hyperexponential for $1.7 billion in cash. The October 27 announcement marks a bigger push into AI-powered insurance pricing. It also puts Guidewire in the middle of an emerging race to install AI into commercial underwriting.
The changes are evident for insurers. AI has now passed the stage of small trials and has been integrated into their risk assessment and pricing systems.
What Guidewire is buying
As stated in its announcement, Guidewire (NYSE: GWRE) will pay a total of $1.7 billion as a base amount, subject to adjustments. The company will also pay up to $400 million more, depending on the recurring revenues achieved.
Hyperexponential, or hx, is a company that creates AI-powered pricing software that can be used by commercial insurers. Its software has already been used to make pricing decisions for more than $75 billion in annual property and casualty premiums.
Guidewire will finance the purchase with $1 billion in new term loans and cash on hand. The deal is expected to close in the second quarter of its fiscal 2027.
The agentic underwriting pitch
Guidewire is eager to bring on board AI agents to simplify the work of underwriters and actuaries in risk assessment and price determination.
The company expects that the recent acquisition would enhance its annual recurring revenue (ARR) growth by at least 650 basis points, or 6.5%. From FY 2028 onward, it estimates that the acquisition would also help its organic ARR growth by an additional 150 basis points, or 1.5%. However, these are forecasts in nature, as there is no evidence of that in practice yet.
According to Guidewire, as per Celent’s study, AI may decrease loss ratios via the use of telematics, satellite imagery, and claims data. However, the information provided does not really supply a specific reduction percentage.
Software vendors versus insurers acquiring AI
Guidewire is following a path similar to Duck Creek, which acquired Send Technology Solutions in July 2026.
Send offers over $26 billion in gross written premiums. Duck Creek also says that the quoting can be seven times faster and product launches take less than 65% time.
Both deals introduce AI underwriting instruments alongside existing insurance systems.
Insurers are making their own purchases, too. Penn-America Underwriters acquired Sayata in September 2025 to improve commercial insurance distribution.
A market consolidating around pricing infrastructure
AI is attracting more dealmaking across the insurance industry. Evident’s 2026 Insurance AI Index found that AI-focused transactions made up more than 50% of relevant insurance technology deals in 2025.
But adoption is still at an early stage. Nearly half (49%) of disclosed AI applications focused on basic efficiency gains. Just 8% involved more advanced capabilities, including connected workflows and AI agents.
Spending continues to rise. Gartner projects global AI spending will hit $2.7 trillion in 2026, a 49.5% increase from 2025. In insurance, Earnix research found that 81% of surveyed executives already use AI in at least some business processes.

The risks that remain unpriced
Fast processing of insurance claims comes with added risks. In case of an error while pricing a claim, who takes responsibility?
CSIS has warned that if insurance companies refuse to cover the risks associated with AI, their usage will lag behind.
For Guidewire, the real challenge is figuring out whether this innovation will result in improved underwriting outcomes. Moreover, insurance companies should think about the risks of relying on a small number of major software providers.
