American Bitcoin ended June with 8,002 BTC. Nearly two-fifths of that total, or 3,090 BTC,  had been pledged to Bitmain for mining equipment. The other 4,912 BTC remain outside the disclosed miner-purchase pledge.

The company was formed in 2025 by Hut 8 and American Data Centers, backed by Eric Trump and Donald Trump Jr. Hut 8 held an 80% stake at launch, while Eric Trump served as co-founder and chief strategy officer.

The pledged Bitcoin equaled 38.6% of the reserve, and the coins remained on the balance sheet because the company retained redemption rights and economic exposure.

American Bitcoin can pay cash before each redemption window closes to keep the coins. If a window expires, the pledged BTC is used for the purchase of the equipment and removed from the balance sheet.

How the Bitmain pledge works

The Q2 filing put a $184.9 million carrying value on the pledged Bitcoin and booked a $371.7 million non-current miner-purchase liability. Those numbers measure different things.

The first represents the coins’ fair value on June 30, while the second reflects the purchase and redemption agreements. Reading them as a loan-to-value ratio or an immediately payable shortfall would combine two different accounting measures.

Most of the pledged balance came from several 2025 tranches totaling 2,776 BTC. Each has a redemption window of about 24 months from its pledge date. The deals follow Bitmain miner-purchase arrangements CryptoSlate examined last year.

A February 2026 agreement covered 11,298 miners priced at about $49.4 million. American Bitcoin pledged 314 BTC toward 80% of the price.

The remaining 20% falls due one year after shipment and can be paid in cash, Bitcoin valued at an agreed floor, or both. The 314-BTC pledge has its own roughly 24-month window, plus an optional 12-month extension.

The redemption windows, rather than Bitcoin’s price, determine when action is required. Under the filed terms, no action is automatically triggered by changes in Bitcoin’s price.

A weaker market would still cut the reserve’s value and change the economics of paying cash to keep the coins.

Bitcoin traded near $62,600 on Aug. 3, about 50% below its October 2025 peak. At that price, the pledged pool was worth roughly $193 million, while the remaining 4,912 BTC was worth roughly $307 million.

However, those spot values are from Aug. 3, and the filing’s asset and liability balances are dated June 30 and follow different accounting rules.

American Bitcoin also reported a $57.2 million GAAP loss in Q2. It included a $71.2 million digital-asset loss, an $18.3 million derivatives gain, and $28.2 million of depreciation and amortization.

The headline loss says nothing about the company’s cash position.

But cash did come in through the equity market: American Bitcoin sold 2.15 million split-adjusted Class A shares through its at-the-market program, raising $33.6 million net. Shares outstanding rose about 3% quarter over quarter, its Bitcoin holdings grew 14%, and satoshis per share increased 11%.

Each redemption window comes with the same choice. American Bitcoin can pay cash to keep the pledged coins or let them settle the miner purchases.

While Bitcoin’s price might change the economics of these deals, the redemption windows determine their timing.
